End User License Agreement

1. Acknowledgment

This End User License Agreement (EULA) is a legal agreement between "Embed In" and you (individual or entity) for using Embed In’s applications ("App") through the monday.com Marketplace or compatible platforms. By clicking "Accept & Install", creating an account, or using Embed In’s services, you confirm that you: Have reviewed and accept this EULA and Embed In’s Privacy Policy. Acknowledge Embed In as a data processor under GDPR and agree to additional Data Processing Supplement (DPS) terms if applicable, ensuring necessary consents are obtained for data processing. If you do not agree, do not use the Software. If acting on behalf of an organization, you confirm your authority to bind it to this EULA. If not, you are not authorized to use the Software. This is a "Publisher EULA" under monday.com Marketplace Terms of Use.

2. Acceptance, Scope, and Account Registration

By installing, accessing, or using any Embed In software, hosted services, or support services, you agree to this EULA, which governs all such products and services. These products are licensed, not sold. If you act on behalf of an organization, you confirm you have the authority to bind that entity. To access products, you must register for an account and maintain accurate information.

3. License Grant, Orders, and Payment

Embed In grants you a license based on your purchase through the monday.com Marketplace: either a perpetual, non-transferable license for standard use, or a monthly subscription for hosted services. Your usage rights are defined by the specifics of your order. You can increase your usage by placing additional orders through the monday.com Marketplace. License fees must be paid as specified, and failure to make payments will result in termination of your license.

4. Third-Party Software, Intellectual Property, and Confidentiality

Embed In products may include third-party software subject to additional terms. All intellectual property rights in Embed In’s products remain with Embed In, and reverse engineering or redistribution is prohibited. Both parties agree to maintain the confidentiality of each other’s proprietary information.

5. Support, Data Security, and Privacy

Support services are available for 12 months following purchase, including updates and bug fixes, with options for renewal. Embed In adheres to its Privacy Policy (https://embed-in.com/privacy-policy.html) in handling data, ensuring security and confidentiality.

6. Termination, Return Policy, and Indemnification

You may terminate your license at any time by uninstalling the software. Upon termination, Embed In will handle your data according to its Privacy Policy. Refunds are available within 30 days of purchase for software, but not for hosted services. You agree to indemnify Embed In against claims related to your modifications or combinations of the software.

7. Disclaimers, Limitation of Liability, and Dispute Resolution

Embed In provides its products "as is," without warranties except as required by law. Liability is limited to the fees paid for the current support period. Disputes will be governed by the laws of New South Wales, Australia, and resolved in its courts.

8. Embedded Content, Trademarks, Publicity, and Export Compliance

You are responsible for ensuring you have the rights to any third-party content embedded in the software. Embed In may use third-party trademarks to describe functionality without implying affiliation. Embed In may use your company’s name and logo for promotional purposes unless you opt out. You must comply with U.S. export control laws when using Embed In products.

9. Revisions, Entire Agreement, and Assignment

Embed In may revise this EULA, with significant changes communicated to you. Continued use after revisions indicates acceptance. This EULA is the complete agreement between you and Embed In, superseding all prior agreements. You may assign your rights under this EULA with notice to Embed In; Embed In may assign its rights without your consent.
